These terms cover your use of the nuverlabs.com website and describe how Nuver Labs LLC (“Nuver Labs”, “we”, “us”) contracts for its services. By using this site, you agree to them. If you do not, please do not use the site.

About us

Nuver Labs LLC is a limited liability company registered in Wyoming, United States. We build and operate our own software products and provide software development services to clients.

Our products have their own terms

Our products, including textbee.dev, remyhomeai.com, and supporthq.app, are governed by their own terms of service, published on their respective websites. Your use of a product is a relationship between you and Nuver Labs LLC under that product’s terms, not these. Nothing here expands or limits them.

This website

The content on nuverlabs.com is provided for general information. We work to keep it accurate, but we make no warranties about its completeness, accuracy, or fitness for any purpose.

We may change, suspend, or discontinue any part of the site at any time, without notice and without liability to you.

You must be old enough to enter a binding contract where you live in order to agree to these terms on your own behalf. If you are agreeing on behalf of a company, you are confirming you have the authority to bind it.

Acceptable use

You may read this site, link to it, and quote it with attribution. You may not:

• use automated tools to scrape or harvest it at a volume that degrades service for others,
• probe, scan, or test the security of the site or attempt to bypass any of its protections,
• interfere with or disrupt the site or the infrastructure it runs on,
• misrepresent your affiliation with Nuver Labs or pass our work off as your own, or
• use the site for anything unlawful.

Intellectual property

The design, text, graphics, and layout of this site belong to Nuver Labs LLC unless stated otherwise. You may not reproduce them for commercial purposes without our permission.

This does not extend to our open-source work. TextBee and any other project we publish under an open-source licence are governed by that licence, which grants you rights these terms do not take away. Where a licence file ships with the code, the licence controls.

Our name, wordmark, and logo are ours. Using them to identify us, in a piece of writing or a link, is fine. Using them in a way that suggests we endorse you is not.

Development services

Software development engagements are governed by an individual written agreement between Nuver Labs LLC and the client: a proposal, statement of work, or services agreement, signed by both parties.

Nothing on this website constitutes an offer, a quote, or a binding commitment. Descriptions of our services, process, and technology stack are informational and may change.

If there is any conflict between these terms and a signed agreement, the signed agreement controls.

Intro calls

Booking an intro call creates no obligation for either side. Anything discussed on a call, including scope, timelines, and indicative pricing, is non-binding until it is captured in a signed agreement.

Third-party services and links

This site links to external sites and relies on third-party services, including Cal.com for scheduling. We do not control them, we are not responsible for their content or their availability, and your use of them is governed by their own terms. A link is not an endorsement.

Disclaimer of warranties

The site is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law we disclaim the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the site will be uninterrupted, timely, secure, or error-free.

Limitation of liability

To the maximum extent permitted by law, Nuver Labs LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of this website.

For services engagements, liability is set out in the applicable signed agreement, and that agreement governs.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions above apply only to the extent the law permits, and nothing here limits liability for fraud, or for death or personal injury caused by negligence.

Indemnity

You agree to indemnify Nuver Labs LLC against claims, losses, and reasonable legal costs arising from your misuse of this site or your breach of these terms. This does not apply to anything caused by us.

Termination

We may suspend or block your access to the site if you breach these terms. The sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnity, and governing law, survive it.

Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any dispute arising out of these terms or your use of this site will be brought in the state or federal courts located in Wyoming, and you consent to their jurisdiction. If you are a consumer, this does not deprive you of the protection of mandatory rules in the country where you live, including the right to bring proceedings there.

Before starting anything formal, please email us. Most things are faster to fix by talking.

General

If any provision of these terms is found unenforceable, the rest stays in force and the unenforceable part is limited to the minimum extent necessary.

Our not enforcing a provision is not a waiver of it.

You may not assign these terms without our written consent. We may assign them to a successor in connection with a merger, acquisition, or sale of assets.

Together with any signed agreement between us and any product terms that apply to you, these terms are the entire agreement about your use of this site.

Changes

We may update these terms from time to time. The effective date at the top reflects the current version. Continuing to use the site after a change means you accept the updated terms.
